Corporate / Commercial

Corporate and commercial law in its broadest sense is one of the cores of our firm's practice. We have assisted in the startup and subsequent growth of many companies in the Kingdom, whether the investments originate from within the Kingdom or from beyond its borders. We take equal pride in helping to grow business enterprises already here.

In addition to corporate and commercial advice, our firm also provides guidance and expertise in other areas of the law affecting businesses and their operations, including foreign investment licensing, antitrust, financial services, labor and employment, and intellectual property.

Our practice involves the structuring, formation and organization of companies and branches; internal reorganizations; shareholder arrangements, business acquisitions and dispositions; financings; outsourcing; strategic alliance, joint ventures, securities transactions and regulatory compliance; all types of commercial agreements.

We focus on understanding our clients’ businesses in order to provide them with clear and practical advice to help them achieve their objectives.

We possess the required expertise to navigate the requirements of the Saudi Arabian foreign investment licensing and regulatory regime, in order to efficiently incorporate limited liability companies, joint stock companies as well as other Saudi Arabian-compliant legal structure.

Members of our Corporate & Commercial team have represented clients before the Saudi Arabian General Investment Authority (SAGIA) and Capital Market Authority (CMA) for licensing, acquisition or liquidation purposes. They also represented shareholders before the Ministry of Commerce & Investment (MoCI); actively participated in settlement and dispute resolution mandates, provided clients with in-house education on legal processes and procedures; and been asked to speak on critical legal issues and decisions at industry conferences and business summits.

Our firm has a long-standing relationship with many KSA government ministries, including but not limited to:

  •  Capital Market Authority (CMA)

  •  Saudi Arabian General Investment Authority (SAGIA)

  •  Saudi Arabian Monetary Authority (SAMA)

  •  Ministry of Finance

  •  Ministry of Commerce and Investment

  •  Ministry of Justice
